1. Who Xahelo is and how these Terms work
Xahelo is the trade name used for the replacement-part identification, engineering, manufacturing, catalog, and fulfillment service available through xahelo.com. Before a live purchase is accepted, the applicable checkout must identify the legal seller and the required seller address disclosure. The same information is made available through the Seller Information page and transaction records.
By creating an account, submitting a repair request, requesting or accepting a quote, purchasing a part, uploading content, or otherwise using the service, you agree to these Terms and the policies expressly presented or linked at the relevant step, including the Privacy Policy, Refund & Remake Policy, Shipping Policy, Product Safety & Use Notice, Restricted & High-Risk Parts Policy, Intellectual Property & Copyright Policy, Cookie & Analytics Notice, and AI & Automated Analysis Notice. If you do not agree, do not submit an order or use a paid service.
If you use Xahelo on behalf of a company or other organization, you represent that you have authority to bind that organization.
2. Eligibility and accounts
You must be at least 18 years old, or the age of legal majority where you live, to enter a purchase or manufacturing contract with Xahelo. A parent or legal guardian may act for a minor.
You are responsible for accurate account information, safeguarding your login credentials, and promptly reporting suspected unauthorized access.
3. What Xahelo provides
Xahelo may use customer photos, measurements, labels, model information, uploaded CAD, catalog data, engineering review, automated analysis, and manufacturing information to identify or reproduce replacement parts.
An identification, compatibility suggestion, material recommendation, quote, AI result, or estimated manufacturing time is not a final safety certification. Final manufacturing decisions may require additional evidence or human review.
Unless explicitly stated in writing for a particular order, Xahelo is not the original equipment manufacturer and is not affiliated with or endorsed by the manufacturer of the product being repaired. Brand and model names may be used descriptively to identify compatibility.
4. Information and measurements you provide
You must provide information that is reasonably accurate and complete. Photos, dimensions, model numbers, damage descriptions, intended use, environmental conditions, loads, heat exposure, chemical exposure, and installation constraints can materially affect whether a replacement part is suitable.
If an order is based on customer-supplied dimensions, CAD, or specifications, Xahelo may manufacture to those inputs. A fit problem caused by inaccurate or incomplete customer-supplied information may require additional engineering work and may not be treated as a manufacturing defect.
5. Customer uploads and intellectual-property rights
You retain ownership of rights you already hold in your photos, CAD, drawings, specifications, and other submitted material. You grant Xahelo a limited, worldwide, non-exclusive license to host, copy, analyze, modify for technical processing, manufacture from, and otherwise use that material as reasonably necessary to provide the requested service, maintain records, prevent fraud, perform quality work, and support the resulting order.
You represent that you have the rights or lawful authorization needed to submit the material and request the work. Do not upload confidential material belonging to another person or company unless you are authorized to do so.
Xahelo does not acquire ownership of a customer's pre-existing intellectual property merely because it is uploaded. Xahelo may retain ownership of its independently created platform software, workflows, generic manufacturing know-how, analysis methods, and independently developed improvements, subject to applicable law and any written customer agreement.
6. Automated and AI-assisted analysis
Xahelo may use automated systems and third-party AI services to help classify images, read visible text, suggest possible part identities, estimate attributes, compare catalog records, or prioritize review.
Automated output can be incomplete or wrong. Do not rely on AI output as an engineering approval, safety conclusion, regulatory determination, compatibility guarantee, or instruction to use a part in a high-risk application.
7. Restricted and high-risk work
Xahelo may refuse, pause, or require additional evidence for any request that appears unlawful, unsafe, regulated, infringing, outside Xahelo's capabilities, or inconsistent with the Restricted Parts Policy.
Do not use ordinary Xahelo replacement parts for safety-critical, life-supporting, regulated, pressure-retaining, fire-protection, flight-critical, braking, steering, restraint, medical, or similar high-consequence functions unless the specific order expressly states that the application was accepted under an appropriate qualified process.
8. Quotes, order acceptance, changes, and production authorization
Quotes are based on the information available when issued and may expire or change if scope, geometry, material, quantity, shipping, tax, or manufacturing requirements change.
A payment, payment authorization, or successful checkout is evidence of payment status; it is not by itself engineering approval, production authorization, quality approval, or permission to ship. Xahelo may keep an order on hold until required engineering or operational gates are satisfied.
Xahelo may reject or cancel an order before shipment when work cannot be performed lawfully or safely, when required information is unavailable, when pricing was materially erroneous, or when a prohibited use is discovered. If Xahelo cancels a paid order for a reason not caused by customer breach, the customer will receive the appropriate refund.
9. Pricing, taxes, and payment
You agree to pay the price, applicable taxes, and disclosed shipping or other charges shown before purchase. Payment processing may be provided by a third-party payment processor.
You authorize the applicable charge when you submit payment. Xahelo does not ask customers to place full card numbers, banking credentials, or payment secrets into support messages or repair uploads.
When checkout requires an affirmative policy acknowledgement, selecting the acknowledgement and submitting payment is an electronic acceptance of the policies identified at that checkout. A policy acknowledgement does not waive a non-waivable consumer right.
Tax treatment can depend on the destination, product, and law. Xahelo may collect taxes where required and may correct tax calculation errors as permitted by law.
10. Shipping and delivery
Shipping estimates are estimates unless a specific guaranteed commitment is expressly stated. Xahelo will follow applicable law concerning promised shipment times, delay notices, cancellation options, and refunds.
Carrier delays, severe weather, address problems, customs processing, or events outside reasonable control may affect delivery. See the Shipping Policy for details.
11. Inspection, installation, and use
Inspect a delivered part before installation. Do not use a part that is visibly cracked, deformed, incorrectly dimensioned, contaminated, heat-damaged, chemically attacked, or otherwise appears unsafe.
Installation must be performed by a person competent for the product and application. A successful fit does not by itself prove that a part is safe for every load, temperature, chemical, electrical, regulatory, or long-term durability condition.
You are responsible for using the part only within the disclosed or reasonably intended use. Stop using the part and contact Xahelo if you discover a condition that could create a safety risk.
12. Remakes, refunds, and product remedies
The Refund & Remake Policy explains Xahelo's ordinary process for manufacturing defects, shipping damage, compatibility problems, customer-supplied design issues, cancellations, and refunds.
Xahelo does not provide a separate written product warranty unless an order-specific document expressly identified as a warranty is provided. Nothing in these Terms disclaims implied warranties, statutory remedies, or other consumer rights that cannot lawfully be disclaimed.
13. Service limitations
To the maximum extent permitted by law, estimates, preliminary analysis, compatibility suggestions, and non-final engineering information are provided without a promise that they will be error-free or suitable for an undisclosed use.
Nothing in these Terms excludes or limits responsibility for fraud, willful misconduct, gross negligence where it cannot be limited, personal injury caused by a legally actionable product defect, statutory privacy rights, or any other liability that applicable law does not permit Xahelo to exclude or limit.
14. Limitation of liability
To the maximum extent permitted by applicable law, Xahelo is not liable for indirect, incidental, special, exemplary, or consequential losses that were not reasonably foreseeable when the contract was made.
For claims that applicable law permits to be limited, Xahelo's aggregate contractual liability arising from a particular order will not exceed the amount actually paid to Xahelo for the affected order. This limitation does not apply to categories of liability that law says cannot be limited.
15. Responsibility for unlawful instructions or infringement
To the extent permitted by law, you are responsible for losses caused by your knowing submission of material you had no right to use, your instructions to perform unlawful work, or your intentional misuse of a part contrary to a clearly disclosed restriction.
This section does not require you to indemnify Xahelo for Xahelo's own negligence, product defect, unlawful conduct, or other responsibility that cannot lawfully be shifted to you.
16. Suspension and termination
Xahelo may suspend an account or request when reasonably necessary to address security, fraud, abuse, unlawful activity, nonpayment, prohibited work, or a material violation of these Terms. We will use proportionate measures where reasonably practicable.
17. Governing law and disputes
These Terms are governed by the laws of California and applicable federal law, without overriding mandatory consumer protections that apply based on where a customer lives or where a transaction occurs.
Before filing a non-urgent dispute, either side is encouraged to contact the other and attempt a good-faith resolution. Nothing in these Terms prevents a customer from using an available small-claims process, reporting a concern to a regulator, or exercising a non-waivable statutory remedy.
These Terms do not impose mandatory arbitration or a class-action waiver.
18. Changes, severability, and contact
Changes to these Terms apply prospectively unless law permits otherwise. Material changes will be identified by the updated effective date and, when appropriate, an additional notice.
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue to apply.
